Duties

The duties of the Securities Market Association are set in the rules of the Association.

The Securities Market Association will participate in the drafting of self-regulation standards concerning limited companies and interpret them, when necessary. Its duty is to draft recommendations, which are intended to support and improve good securities markets practice, and improve and maintain these recommendations.

The Association administers the Corporate Governance Recommendation for Listed Companies given in December 2006 and maintains the recommendation concerning public bids, Helsinki Takeover Code. However, the Association does not attend to the duties which The Panel on Takeovers and Mergers of The Central Chamber of Commerce of Finland attends to. The Association does not attend either to the matters belonging to the Finnish Securities Complaint Board or the self-regulation matters belonging to the Exchange.

The Association may issue statements on matters such as what in general or in an individual case should be considered as good securities markets practice; or appropriate compliance with the aforesaid recommendations; and/or practice accordant with the general principles of the Finnish Companies Act.

Furthermore, the Association may take initiatives and issue statements to the authorities and participate in domestic and international operation in matters concerning practice of the Association. The Association may also organize events of current issues.
